If you submit any content, feedback, ideas, suggestions, or materials (collectively “User Content”) through the Site (e.g., project submissions, messages, comments, photos):

• You represent and warrant that you own or control all rights to your User Content and that your User Content does not infringe others’ rights.
• By submitting User Content, you grant Oyster & Oak a nonexclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, adapt, publish, translate, distribute, and display such content in connection with our business, marketing, and promotional purposes.
• We may (but are not obligated to) remove or refuse to post any User Content for any reason.

4. Orders, Projects & Services

• Any purchase, order, or project engagement made via or through our Site or via direct communications is subject to additional terms (e.g., estimates, contracts, invoices) that may govern scope, delivery, payment, revisions, warranties, returns, or cancellation.
• We reserve the right to refuse or cancel any order or project for reasons including, but not limited to, unavailability of materials, errors in description or pricing, or cases where service to you would violate applicable law.

Oyster & Oak disclaims all warranties, including merchantability, fitness for a particular purpose, noninfringement, and accuracy.
• LIMITATION OF LIABILITY
  To the fullest extent permitted by law, Oyster & Oak (and its officers, directors, employees, affiliates, agents) will not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, revenue, data, or use), arising out of or in connection with your access to or use of the Site, even if advised of the possibility of such damages.
  Our total aggregate liability to you (for any cause whatsoever) will not exceed the amount you actually paid (if any) for access to or use of the Site or services.
• Some jurisdictions may not allow the exclusion or limitation of certain warranties or damages; in such cases, our liability is limited to the greatest extent permitted.

8. Governing Law & Dispute Resolution

• These Terms and any disputes arising out of or relating to them or your use of the Site are governed by the laws of the state where Oyster & Oak is located (South Carolina, United States), without regard to its conflict of laws rules.
• You and we agree to submit to the personal jurisdiction of state or federal courts located in that state for the resolution of any disputes.

9. Miscellaneous

• Entire Agreement. These Terms (along with any additional agreements you enter into with us) constitute the entire agreement between you and Oyster & Oak regarding use of the Site, superseding any prior agreements.
• Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.
• Waiver. No waiver of any term is effective unless in writing and signed by us. Our failure to enforce any right or provision is not a waiver of such right or provision.
• Assignment. You may not assign your rights or obligations under these Terms. We may assign or delegate our rights and obligations without restriction.
